These Terms of Use (“Terms”) govern your access to and use of the Jones Payne Group website and any client portals, project collaboration tools, and related online services we make available (collectively, the “Site”). By accessing or using the Site, you agree to these Terms and to our Privacy Policy.
1. Purpose of the Site; No Client Relationship by Website Use
The Site provides information about The Jones Payne Group and supports professional architectural and construction services, including project collaboration. Your use of the Site does not create an architect-client relationship or any other professional relationship unless and until confirmed in a separate written agreement signed by the parties.
2. Eligibility
You must be at least 18 years old to use the Site. By using the Site, you represent that you meet this requirement.
3. Changes to the Site and Terms
We may change, suspend, or discontinue any part of the Site at any time. We may update these Terms from time to time. Continued use of the Site after changes become effective constitutes acceptance of the updated Terms.
4. Intellectual Property
Unless otherwise stated, all content on the Site—including text, graphics, logos, photographs, videos, software, and documentation (collectively, “Content”)—is owned by or licensed to The Jones Payne Group and is protected by intellectual property laws. You may access and use the Site and Content solely for informational purposes and, where applicable, for authorized project collaboration.
5. Accounts; Client Portals; Security
Certain areas of the Site may require an account (for example, client portals). You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to notify us promptly of any suspected unauthorized use. We may require additional verification or security controls.
6. Project Materials; Submissions
Project materials submitted or exchanged through the Site (including drawings, specifications, RFIs, submittals, meeting notes, schedules, models, photos, and messages) are handled as part of professional services and remain subject to applicable project agreements and the rights of the parties and their licensors. Except as necessary to provide professional services, JPG does not claim ownership of client-provided materials.
If you submit feedback or suggestions about the Site itself (non-project feedback), you grant JPG a non-exclusive, royalty-free, worldwide license to use that feedback to improve the Site.
7. Acceptable Use
You agree not to:
• use the Site for any unlawful purpose;
• attempt to gain unauthorized access to accounts, systems, or data;
• interfere with the operation, security, or integrity of the Site;
• introduce malware or harmful code;
• upload or transmit content that infringes third-party rights or violates confidentiality obligations.
We may suspend or terminate access for violations of these Terms or to protect the Site, our users, or our clients.
8. Third-Party Services
The Site may integrate with or link to third-party services (such as project management or document platforms). Your use of third-party services is governed by their terms and policies. We are not responsible for third-party services.
9. Disclaimers
THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, JPG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure, or error-free.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, JPG WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Indemnification
You agree to defend, indemnify, and hold harmless JPG and its directors, officers, employees, and agents from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your infringement of third-party rights.
12. Governing Law; Venue
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law rules. Any action arising out of or relating to these Terms or the Site will be brought exclusively in state or federal courts located in Massachusetts, and you consent to personal jurisdiction and venue in those courts.
